1. GENERAL OVERVIEW
1.1 Who is Sorrento Networks?
Sorrento Networks was acquired by Zhone Technologies in 2004. In January 2008, Tim Anderson and Jim Nevelle re-established the Sorrento brand and purchased the GigaMux metro optical product portfolio of edge-to-regional CWDM, DWDM and ROADM solutions from Zhone. Our customers are primarily carriers and enterprises.

RBN Inc. develops, manufactures and markets next-generation optical transport platforms, including the GigaEdge 2300, 6000 and 8200 series, as well as the GigaCraft 1200. RBN optical platforms offer simplicity and flexibility, a small form factor, low power usage and low cost of ownership. The company was founded in 1999, and is headquartered in Australia with offices in the US and India.
1.3 Why did Sorrento Networks acquire the assets of RBN?
Sorrento's focus is to grow our metro optical equipment business worldwide. By acquiring RBN's assets, we have gained new, global customers, unique products/ intellectual property and additional resources at an attractive purchase price. These attributes will reinforce Sorrento's value-add to our customer base.

RBN's current customer base includes global leaders such as Alltel, Embarq, Ericsson, PCCW Hong Kong and Siminn Telecom Iceland.

On May, 29, 2008, Sorrento closed the purchase of 100 percent of the assets of RBN Inc. This includes all intellectual property, customer contracts, accounts receivable, inventory and property, plant and equipment. Financial details are undisclosed.

2.1 What are your product development plans and product roadmap?
Sorrento Networks intends to move forward with the development and delivery of new products that expand the capabilities of the GigaMux and GigaEdge offerings. We are enhancing our product portfolio by expanding our Ethernet capabilities and provisioning features.
2.2 How will the products be merged? Will products be eliminated or phased out as a result of this transaction?
Sorrento views the GigaEdge as a world class product in the access space. We plan to continue to invest in the product line for future growth and will continue to evaluate the combined product portfolio to determine the best offerings to meet our customers' needs.
3. SERVICE AND SUPPORT
3.1 Will existing GigaEdge product installations be supported and serviced by Sorrento?
Yes, all existing GigaEdge customers will be supported by Sorrento.
3.2 How does this affect existing RBN customer contracts?
All existing purchase agreements and warranty obligations will be honored by Sorrento.
